The shipbuilding sector has deep roots in certain areas of Spain and is internationally recognized for its technical ability and high degree of quality. An unfavourable economic environment has affected the sector, despite which shipyards have survived with a certain level of activity involving transport, fishing, support, towing vessels, etc. The military naval industry is also important, with relevant orders coming from the navies of various states.

Shipbuilding poses very specific legal issues in which Gómez-Acebo & Pombo has extensive experience in giving advice. The aspects on which we customarily provide advice include:

  • Contracting of shipbuilding, advising both the shipyards as well as local and international ship owners on the drafting, negotiation and signature of shipbuilding contracts and aspects related thereto such as the issuance of repayment guarantees; monitoring and interpretation of contracts and any litigious matters that may arise; vessel delivery and acceptance protocols.
  • Contracting with purveyors and equipment suppliers.
  • Financing for shipbuilding, where we act both for the vessel owners as well as for the financing banks, in the design of different financing structures, loan and credit facility agreements, granting and perfection of guarantees (pledges on the shipbuilding contracts themselves, insurance and various operating contracts in respect of the vessels, naval mortgages, as the case may be, on the vessels under construction).
  • Registration and flagging of vessels and formalities before harbour masters offices, registries and public authorities.
